Winding Down a Startup: A General Checklist for Founders

Closing a startup is a legal and financial process as well as an emotional one. This is a general checklist of the finance steps founders usually need to plan for: stopping new commitments, protecting cash for what you legally owe, telling the right people in the right order and keeping records. It is not legal advice. Company, insolvency and employment rules differ by country, so speak to a qualified lawyer before you act.

Before you decide

  • Run a stress test and list the options: cut, raise, sell, merge or close
  • Write down what you owe, to whom and by when
  • Check what your contracts, loans and personal guarantees say
  • Take professional legal advice early, before paying some creditors and not others

Cash and obligations

  • Freeze new commitments and discretionary spend
  • Prepare a 13-week cash forecast for the wind-down period
  • List employee entitlements, supplier balances, taxes and leases
  • Check the order in which debts must be paid under your local rules, with your lawyer

People, customers and records

  • Plan how and when you will inform your team, investors and customers
  • Agree data handling and return of customer data
  • Keep accounting records, contracts and bank statements for the period your local rules require
  • Save a final set of management accounts and a cash reconciliation

Tax and filings

  • Confirm final tax returns and registrations to close with the Oman Tax Authority, the Australian Taxation Office or your local authority
  • Close or transfer bank accounts and subscriptions
  • Ask your accountant what has to be filed and by when
